Overview

The Real Estate Acquisition & Finance Practice Group, which is part of Karr Tuttle Campbell’s Business and Finance Department, is well-grounded in the representation of every segment of the real estate industry including acquisition, development, finance, sale and syndication. This group boasts extensive experience in public and private financing of real estate projects, including all forms of debt financing, equity partnerships or LLCs, municipal bond financing, ground lease financing, construction loan financing, take-out loans, mezzanine financing, and sale lease-back or other commercial lease transactions. Our member attorneys are experienced in negotiating purchase and sale agreements and financing of special use properties, including office buildings, multifamily real estate developments, single family home development projects, tax credit subsidized housing projects, industrial properties, hotels, aircraft fuel tank farms, marinas and layered condominium projects. The firm’s real estate clients range from personal investors, real estate developers and home builders to large national and multinational corporations.

Several lawyers in the Real Estate Acquisition & Finance group have particular expertise in environmental law and land use matters, including those involving telecommunications, construction, hazardous materials, and insurance law issues. The resources of other practice groups within the firm are available to clients in the event that foreclosure, loan workout, lender liability or other litigation concerns arise.

Representative Matters

  • Acquisition of multiple parcels of commercial real estate from foreclosing lenders
  • Development of mixed use commercial and residential projects on both owned and leased parcels
  • Negotiation of equity joint venture agreements for multiple acquisitions of commercial and multifamily  projects
  • Negotiation of the purchase, sale and financing of over $300 million in apartment buildings
  • Sale of the SeaTac Airport jet-fuel tank farm to the Port of Seattle
  • Negotiation of construction, take-out,  permanent and mezzanine financing for a combined private flag hotel and condominium development project
  • Representation of a group of non-US investors in purchase of 500 plus acres of undeveloped land for development of a residential golf course community
  • Acquisition of a 37-acre undeveloped site in Clackamas County, Oregon, for development of a light manufacturing plant, including related design and construction agreements and resolution of proscriptive easement issues
  • Work with private parties and county officials to resolve access, easement, utility, design, and covenant issues surrounding the subdivision of a large Orcas Island tract into individual lots
  • Representation of developer of 65-unit subdivision in dispute with adjoining property owners over private water system and in refinancing development
  • Obtaining all necessary governmental approvals for a multi-acre, high tech campus/office park in Issaquah
  • Representation of a grocery store chain in connection with a series of store leasing and purchase transactions
  • Representation of a large solid waste handling facility including a transaction involved with rail sidings and the subcontracting of a transfer station facility
  • Leasing transactions for commercial and office tenants
