Mike Liles, Jr.

Mike Liles, Jr. is a graduate of Harvard College (A.B. Engineering and Applied Physics), the University of Pennsylvania (M.B.A. The Wharton School, Finance) and Harvard Law School (LL.B.). Mr. Liles focuses his practice on business and corporate finance (securities) law. He has been the primary legal adviser in over 30 major public offerings and an equal number of major mergers and acquisitions.  Prior to joining Karr Tuttle Campbell in 1995, Mr. Liles was a partner for 24 years at the Seattle law firm of Bogle & Gates, at which he founded and chaired its Corporate Finance Department and served on its Executive Committee.

As lead counsel, Mr. Liles has advised on strategies, negotiated transactions and prepared documentation for public and private offerings; public company regulatory compliance; mergers and acquisitions; hostile takeovers; public company officer and director risk management; and corporate governance, including special board committees and independent counsel.  In recent years, Mr. Liles has represented clients in administrative proceedings by securities regulators.  He has also served as an expert witness in securities matters.

For in excess of thirty-five years Mr. Liles has been active in the Business Law Section of the American Bar Association and is currently Co-Chair of the NSMIA Subcommittee of the Committee on State Regulation of Securities.  Mr. Liles is presently an active member of the Washington State Bar Association Study Group of its Securities Law Committee testifying before committees of the Washington legislature on the proposed Washington Uniform Securities Act.  He is also an member of the Private Placement Broker-Dealer Task Force of the Small Business Committee of the ABA’s Business Law Section.  While serving as a member of a Study Group of the ABA Committee on State Regulation of Securities, Mr. Liles was a principal draftsperson of the Small Corporate Offering Registration ("SCOR") Form U-7, a simplified public offering procedure first used in Washington State, which has been subsequently adopted by most other states and by the Securities and Exchange Commission.  He has served on the Securities Advisory Committee to the Washington Securities Division and as special advisor to various committees of the North American Securities Administrators Association.  Mr. Liles is national author and lecturer on securities regulation topics.  Publications include "Financing the American Dream: ULOR SCOR[ES]," 45 Bus. Law. 1343 (1990) (co-author); "Financing the American Dream - Small Business and the ULOR Project," 43 Bus. Law. 757 (1988) (co-author); and "Financing the American Dream: A Beginning," 44 Bus. Law. 625 (1989) (co-author)
